By accessing indexwell.com or engaging Indexwell's consulting services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our website or services.

Services

Indexwell provides technical SEO consulting services on a monthly subscription basis. Our services include, but are not limited to: technical SEO audits, crawl and indexation analysis, schema markup implementation guidance, performance optimization recommendations, developer-ready specifications, and ongoing monitoring and validation.

Service deliverables, timelines, and scope are discussed and agreed upon during onboarding. Specific deliverables may vary based on your site's needs and the selected service tier.

Website Contact Form

Our website provides a contact form for general inquiries. By submitting the form, you acknowledge that:

• The information you provide (name, email, message) will be stored in our database to facilitate a response.
• You are providing accurate contact information.
• You will not use the form to transmit spam, malicious content, or unsolicited bulk messages.
• We reserve the right to discard submissions that violate these terms.

Billing and Payment

• Services are billed on a recurring monthly basis.
• Payment is due at the beginning of each billing cycle.
• All fees are quoted in U.S. Dollars (USD) unless otherwise stated.
• Payments are processed through third-party payment providers. By providing payment information, you authorize us to charge the applicable fees.

Pausing and Cancellation

You may pause or cancel your subscription at any time before the start of your next billing cycle. Upon cancellation:

• You retain access to all deliverables produced during your active subscription.
• No further charges will be applied after the current billing period ends.
• We do not offer prorated refunds for partial months of service.

Intellectual Property

Your deliverables: All work product and deliverables created specifically for your project (audits, specifications, documentation, recommendations) belong to you upon payment. You receive full ownership and may use them without restriction.

Our methodology: Indexwell retains ownership of its proprietary processes, frameworks, tools, templates, and general know-how developed independently of any client engagement. Nothing in these terms transfers ownership of our underlying methodology.

Website content: All content on indexwell.com (text, graphics, logos, design) is owned by Indexwell and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without written permission.

No Guarantees on Results

SEO is influenced by numerous factors outside our control, including search engine algorithm changes, competitor activity, website implementation decisions, and market conditions. While we apply industry best practices and validated methodologies:

• We do not guarantee specific rankings, traffic levels, or revenue outcomes.
• We do not guarantee specific timelines for search engines to process changes.
• Past results for other clients do not guarantee future results for you.

We do guarantee the quality and thoroughness of our work, clear communication, and adherence to agreed-upon deliverables and timelines.

Client Responsibilities

To enable effective delivery of our services, you agree to:

• Provide timely access to necessary tools, platforms, and data (e.g., Google Search Console, analytics, CMS access)
• Respond to requests for information or approval within a reasonable timeframe
• Implement recommendations at your own discretion and responsibility

Limitation of Liability

To the maximum extent permitted by law, Indexwell's total liability for any claims arising from or related to our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

Indexwell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, traffic, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes, but is not limited to: business strategies, technical infrastructure details, analytics data, and unpublished content. This obligation survives termination of services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. Any disputes arising from these terms or our services shall be resolved in the courts of Salt Lake County, Utah.

Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be reflected by updating the "Last updated" date above. For active clients, we will provide direct notice of material changes via email. Continued use of our services after changes constitutes acceptance of the updated terms.
